Belships Concludes Merger with Lighthouse Group

Norway-based bulk ship operator Belships has finalized its merger with Lighthouse Group after receiving an approval of the merger plan by the extraordinary general meeting on October 26.

The company concluded the merger between its wholly-owned subsidiary, Belships Chartering AS, and LHS Holdco AS, LHS Holdco II AS, LHN Holdco 1 AS and LHN Holdco 2 AS, on December 10.

Upon completion of the merger, Belships issued 127,7 million consideration shares to the shareholders of the assigning companies, and following the issuance there are 175,1 million shares outstanding in Belships, each with a nominal value of NOK 2.

The new share capital of the company is NOK 350.2 million.

Following completion of the merger Sonata AS owns 10% of the shares and votes in the company, while Kontrari AS and Kontrazi AS own 68.8%.
